By accessing, browsing, or otherwise using the Lumen Resonance platform, website, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy and Disclosures.

If you do not agree with any part of these Terms, you must not access or use the platform. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Lumen Resonance is operated as a private investment intelligence system in controlled deployment. Access is granted on a discretionary, approval-only basis and may be limited, suspended, or revoked at any time.

You must be at least 18 years old and legally capable of entering into a binding contract to use the platform. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

The platform ingests external market intelligence, normalizes events into a proprietary event model, generates AI summaries, and produces structured research and a daily intelligence brief. AI is used to generate intelligence, summaries, and proposals; deterministic systems govern data integrity, auditability, and access.

The platform is an analytical tool. It does not execute trades, hold client assets, or exercise discretionary authority over any account.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your internal investment research and decision-support purposes.

• Use the intelligence, summaries, and research outputs to inform your own analysis.
• Export or reference outputs internally where your access tier permits.
• Configure watchlists, themes, and sources within the features made available to you.

You agree not to, and not to permit any third party to:

• Resell, sublicense, redistribute, or commercially exploit the platform or its outputs without written authorization.
• Reverse engineer, decompile, or attempt to derive the underlying models, event model, or source code.
• Scrape, harvest, or systematically extract data beyond the features provided.
• Circumvent access controls, rate limits, or security measures, or use the platform to build a competing product.
• Use the platform in violation of applicable securities laws or regulations.

The platform, including the Unified Event Ledger, the event model, software, design system, brand marks, and all associated intellectual property, is owned by Lumen Resonance and protected by applicable law. No rights are granted except as expressly set out in these Terms.

You retain ownership of any data you submit, and grant Lumen Resonance a limited license to process it solely to provide and improve the service.

The platform incorporates information from third-party sources, including macro, geopolitical, insider, regulatory, and market data providers. Such information is provided “as is,” and Lumen Resonance does not warrant its accuracy, completeness, or timeliness.

Your use of third-party content may be subject to the terms of the originating provider. Lumen Resonance is not responsible for the acts, omissions, or content of third parties.

You are solely responsible for your investment decisions and should consult your own qualified advisors. No fiduciary, advisory, or brokerage relationship is created by your use of the platform. Past performance and historical context are not indicative of future results.

The platform and its non-public outputs are confidential. You agree to protect them with at least the same care you use for your own confidential information and not to disclose them to unauthorized parties. Account activity may be logged to preserve data integrity and maintain a complete audit trail.

The platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Lumen Resonance does not warrant that the platform will be uninterrupted, error-free, or that outputs will be accurate or complete.

To the maximum extent permitted by law, Lumen Resonance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising from your use of the platform.

We may suspend or terminate your access at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive — including intellectual property, confidentiality, disclaimers, and limitation of liability — will survive termination.

We may revise these Terms from time to time. Material changes will be reflected by updating the effective date and version above; continued use after changes constitutes acceptance. These Terms are governed by the laws of the applicable jurisdiction in which Lumen Resonance operates, without regard to conflict-of-laws principles.
